Introduction

Welcome to Idilio.tv (the "Platform" or the "Service"), provided by Idilio.tv or its affiliates ("we" or "us"). Idilio.tv is a personalized membership service that allows users to access entertainment content in vertical format (the "Content") via the internet on televisions, computers, and other devices compatible with Idilio.tv.

The Platform may also allow users to create, upload, and share their own content in certain cases. These Terms and Conditions of Use (the "Terms") govern the access and use you ("you" or the "user") make of the Service, including all websites, applications, products, features, tools, and software related to Idilio.tv.

By accessing or using the Service, you confirm that you accept these Terms and agree to comply with them. Our Services are provided for your personal, private, and non-commercial use. Please read these Terms carefully. If you do not agree with them, do not access or use the Platform.

Eligibility

If you continue to use the Service after the effective date of new Terms and Conditions, such continued use shall constitute your acceptance thereof.

Membership and Account

You are responsible for maintaining the confidentiality of your password and for restricting access to your devices; any activity carried out from your account is your responsibility. If you suspect that an unauthorized third party knows your credentials or has accessed your account, notify us immediately.

We may suspend or disable your account if you violate these Terms or if we detect activities that could harm the Platform, other users, or that are fraudulent or illegal.

Your Idilio.tv Membership will continue indefinitely until you cancel it. To access the Service's content, you must have an internet connection, a compatible device, and provide a valid Payment Method. "Payment Method" means a current, valid, and accepted payment method that you authorize for charging membership fees. Unless you cancel before the next billing date, you authorize us to charge the membership fee for the next billing cycle to your registered Payment Method as applicable (see the Billing and Cancellation section below).

Subscription Plans

We offer various subscription plans. Some plans may include advertisements (for example, plans with commercial breaks) or other special features. All membership plans are intended for personal and household use; unauthorized commercial use is not permitted. Some plans may offer limited content with branded advertising, Idilio.tv promotions, or other products of ours. We may offer certain users the opportunity to access live events, new features, or special content, which may include advertisements regardless of your plan.

In some cases, your membership may be offered through a third party together with products or services of that third party (for example, through your mobile phone company, pay television provider, or promotional bundle). Such transfer of information for the provision of information to third parties will be carried out in accordance with our Privacy Policy. We assume no responsibility for the products and services provided by third parties. If you obtained your access to Idilio.tv through a third party, additional or different terms may apply, as specified in the subscription agreement with such third party. You can verify details of your plan by logging into our website and visiting the Account section.

Special Offers

From time to time, Idilio.tv may promote special offers, introductory plans, discounts, free trials, giveaways, or other incentives ("Offers"). Eligibility for any Offer will be determined by us at our sole discretion, and we may use information such as your device identifier, payment method, or email address to determine such eligibility. We reserve the right to revoke an Offer and suspend your account if we determine that you do not qualify or that you have violated the terms of the promotion. Users who are or have recently been subscribers in the same household may not be eligible for certain introductory Offers. The specific conditions of each Offer will be communicated to you at the time it is offered. If you receive an Offer and do not meet the requirements or your promotional period ends, your membership will automatically continue at the standard rate of the corresponding plan unless you cancel it.

Data Transfer

Information about the activities that users carry out with their membership may be transferred to third parties and partners in exchange for consideration. Such transfer will be carried out in accordance with the Privacy Policy.

Billing and Cancellation

Idilio.tv subscription fees and any other charges you may incur (for example, applicable taxes or other transaction fees) will be automatically charged to your Payment Method on the corresponding periodic payment date. The billing frequency depends on the membership plan you have selected (for example, monthly, annual, etc.). You can view your next payment date by visiting the Account page on our website. By subscribing, you authorize us to perform a pre-authorization on your Payment Method, which may involve a temporary charge or validation of your payment method, including up to approximately one month of service. If you subscribed through a third party, please refer to the billing information in that third party's account.

To use the Service, you must provide at least one valid Payment Method. You authorize us to charge subscription fees to any of the Payment Methods associated with your account in the event that your primary Payment Method is declined or unavailable. Any unpaid amounts will remain your responsibility. If a payment is not successfully processed due to expiration, insufficient funds, or another reason, and you do not cancel your account, we may suspend your access to the Service until a valid Payment Method is obtained. Some payment providers may charge you additional fees for foreign transactions or other charges related to payment processing depending on your payment method and currency; please consult your provider for more information. Local taxes may vary depending on the payment method used.

You may update your payment information at any time by going to the Account section of our website. If you update or add a new Payment Method, you authorize us to charge any outstanding and future amounts to that Payment Method. You also authorize us, when necessary, to obtain and use updates to your payment information provided by the financial institution or payment network of your payment method.

Cancellation

You may cancel your membership at any time. If you cancel, you will continue to have access to Idilio.tv content until the end of your already-paid billing period. To the extent permitted by applicable law, subscription payments are non-refundable, and we do not provide refunds or credits for partial periods used or for content not viewed. To cancel, visit the Account page and follow the cancellation instructions.

If you initiated your subscription through a third party (for example, through your device's app store or an external provider), you may need to cancel through that third party. Once your cancellation is processed, your account will automatically close at the end of your current billing cycle, after which you will no longer have access to the Service. You can check the Account page for the exact date your access will end after cancellation.

Idilio.tv subscription prices and plan offerings may change from time to time. Any change in your plan's price or in the plan structure will be communicated to you at least 60 days (sixty days) in advance of its implementation. These changes will take effect starting from the next billing cycle after the indicated effective date. Continued use of the Service after the modification takes effect shall constitute your acceptance of the new price or plan.

Account Deletion

If you wish to permanently delete your Idilio.tv account, you may contact us through the Help Center or the contact form provided on the Platform to request deletion. Please note that account deletion is irreversible: you will lose access to your history, profiles, saved content, and any User Content you have provided. Once deleted, it will not be possible to reactivate the account or recover the associated information or content.

Use of the Service

The use of Idilio.tv and all content accessed through the Service must be carried out in accordance with these Terms and all applicable laws and regulations.

The Service, including all Content provided, is offered exclusively for your personal, private, and non-commercial use. During your subscription, we grant you a limited, non-exclusive, and non-transferable right to access the Service and view the available Content. Except for this limited right, no right, title, or interest in the Service or its Content is transferred to you. You agree not to use the Service or the Content for public displays, nor to share your access with persons outside your household, unless your membership plan explicitly permits it. Unauthorized resale or commercial use of the Service is prohibited.

The content available on Idilio.tv may vary depending on your geographic location and may change periodically. You will normally be able to access Content primarily in the country where you registered your account, and only in those territories where we offer the Service and are licensed for such Content. We do not guarantee that a specific title or content will be available at any given time. Some content may not be available on certain plans. Additionally, the number of devices on which you can simultaneously view content depends on your membership plan.

Service Evolution

Idilio.tv is constantly evolving. The user interface, features, content selection, and any element of the Service may be updated, modified, or removed periodically to improve the experience or meet legal or technical requirements. We reserve the right to conduct pilot tests of various features, offers, interfaces, or content with different groups of users. These tests allow us to evaluate the quality and interest in new features. You may opt out of participating in tests by visiting the Account section and changing the "Test Participation" settings. We do not guarantee that any feature or content being tested will ultimately be incorporated into the Service. Likewise, we may remove or add new features at any time.

Downloaded Content

Depending on your plan and your devices, some Idilio.tv Content may be available for temporary download and offline viewing ("Offline Titles"). This feature allows you, on authorized devices, to download certain titles for later viewing without an internet connection. The availability of Offline Titles is subject to restrictions: for example, there may be a limit on the number of titles you can download per account, a maximum number of associated devices for offline storage, as well as deadlines within which you must begin playing the downloaded content and the duration for which such content will remain accessible offline before expiring. Some Offline Titles may not play if you are in a country where that content is not available via streaming. The use of downloaded content remains subject to these Terms.

Consequences of Prohibited Activities

Failure to comply with any of the foregoing constitutes a serious violation of these Terms. Idilio.tv reserves the right to suspend or cancel your account and/or take appropriate legal action if you engage in any of the prohibited behaviors described, or if you use the Service in an illegal, fraudulent, or unauthorized manner.

Viewing Experience

The content viewing experience on Idilio.tv may vary depending on the device you use and may be influenced by various factors, such as your location, available bandwidth, and internet connection speed. The availability of HD, Ultra HD (4K), or HDR quality playback depends on your internet service and your device's capabilities. Not all content is available in all formats, and not all subscription plans include access to the highest quality content. The minimum recommended connection speed for HD quality (720p or higher) is 3.0 Mbps per stream; for Full HD (1080p or higher), at least 5.0 Mbps per stream is recommended; and for Ultra HD (4K or higher), at least 15.0 Mbps per stream. All fees associated with your internet connection are your responsibility. Playback start time may vary depending on your location, available bandwidth, selected content, and your device's configuration. We do not guarantee that the Service will be free from errors, delays, interruptions, or that it will always be able to connect at the highest available quality.

Software

The Idilio.tv software (including the mobile application and other components) is developed by or for Idilio.tv, and is licensed to you solely for the purpose of enabling your legitimate access to the Service and Content through compatible devices. This software may vary depending on the device or platform, and its functionalities may differ across different environments.

By using the Platform, you agree that the software may automatically download and install updates, patches, or new versions to improve the Service, fix bugs, or add functionalities. Any third-party software included with or that interacts with the Service will be subject to the licenses of those third parties. You agree not to copy, modify, extract, or distribute the Idilio.tv software, except to the extent expressly permitted by applicable law. Idilio.tv may revoke your software license at any time if you breach these Terms.

Password, Security, and Account Access

You are responsible for maintaining the confidentiality of your password and any credentials you use to access your Idilio.tv account. You are also entirely responsible for all activities that occur under your account.

We also reserve the right to cancel or disable your account (without liability to you) if we consider, at our sole discretion, that you have materially violated these Terms or engaged in illegal or inappropriate use of the Service.

Content and Intellectual Property

Service Content

All content provided by Idilio.tv or available through the Service — including, but not limited to, videos, series, movies, clips, trailers, images, texts, graphics, logos, interfaces, software, interactive features, designs, and any other material — is owned by Idilio.tv or its licensors and is protected by applicable intellectual property laws.

The compilation, organization, and presentation of such content, as well as the software and databases that support it, are also protected property of Idilio.tv and its providers. By using the Service, you do not acquire any ownership of the Idilio.tv Content or of the trademarks, logos, or other protected elements. Idilio.tv grants you a limited, non-exclusive, revocable, and non-transferable license to access the Service Content and view it through the Platform, exclusively for personal and non-commercial purposes, in accordance with these Terms.

Content Restrictions

In particular, you shall not download (except for content specifically available for offline download as permitted by the Service), copy, reproduce, retransmit, distribute, broadcast, display, sell, license, alter, create derivative works from, or otherwise exploit the Idilio.tv Content, in whole or in part, without our prior written consent. Idilio.tv, as well as its logos, trademarks, service names, and other proprietary identifiers, are registered or unregistered trademarks of Idilio.tv.

Third-Party Advertisements

During your use of the Service, you may encounter third-party advertisements or promotional content, especially if your plan includes advertisements. Idilio.tv does not endorse or guarantee any product or service that may be advertised by third parties on the Platform. The inclusion of third-party advertising does not imply recommendation or endorsement. Any interaction, correspondence, or commercial relationship you have with advertisers or third parties found on the Service is exclusively between you and such third party. We are not responsible for the terms, warranties, actions, omissions, or injuries related to such transactions with third parties.

User Content

Idilio.tv may allow users to create, upload, post, transmit, or make available certain content of their own through the Platform, such as short videos, comments, reviews, photographs, audio recordings, graphics, messages, social interactions, or other materials (collectively, "User Content"). By generating or submitting User Content on Idilio.tv, you agree to the following conditions:

User Content Summary

In summary, by sharing User Content on Idilio.tv, you retain ownership of your copyrights over such content, but you grant us the necessary permissions to operate, promote, and improve the Service with your content, without compensation to you. If you do not wish to grant us these rights, please do not post content on the Platform.

Indemnification

You agree to indemnify, defend, and hold harmless Idilio.tv, its parent companies, subsidiaries, affiliates, as well as their respective officers, employees, agents, business partners, and licensors, from and against any claim, demand, action, damage, loss, cost, or expense (including reasonable attorneys' fees) arising from or related to: (a) the User Content you post; (b) your use of the Service; (c) your breach of these Terms or applicable law; or (d) any violation of third-party rights caused by you or by any person using your account.

Warranty Disclaimers

Your use of Idilio.tv shall be at your own risk. Please note the following warranty disclaimers regarding the Service:

Limitation of Liability

To the extent permitted by applicable law, Idilio.tv (including our affiliated companies, officers, employees, and agents) shall not be liable to you, the user, for indirect damages or losses. This includes, but is not limited to: loss of profits or earnings, loss of revenue, loss of goodwill or business reputation, loss of business opportunities, loss or corruption of data, or indirect, consequential, special, or punitive damages resulting from the use of the Service.

Any other loss or damage not expressly mentioned in these Terms shall, in any event, be limited to the amount you have paid to Idilio.tv for the Service in the 12 months immediately preceding the event giving rise to the liability.

Specific Circumstances

Without prejudice to the foregoing, you acknowledge that we shall not be liable for losses or damages resulting from the following circumstances:

Personal Use

Idilio.tv provides this Platform to you solely for your personal and household use. You agree not to use the Service for unauthorized commercial, business, or resale purposes.

Nothing in these Terms shall exclude or limit our liability for damages that by law cannot be excluded or limited.

To the maximum extent permitted by law, any controversy or claim you may have against a third party arising from your use of the Service must be resolved exclusively between you and such third party, without involving Idilio.tv.

You agree to release Idilio.tv and its affiliates from all liability for claims, demands, and damages of any kind arising from disputes with other Service users, external providers, or third parties in general related to your use of the Platform.

Third-Party Charges

Idilio.tv does not charge for the use of its application beyond the subscription fee, but please note that using the Service may involve third-party charges, such as your internet or mobile phone provider. You are solely responsible for all data charges, internet fees, broadband costs, text message charges (SMS/MMS), or other costs associated with accessing and using the Service.

Class Action Waiver

To the extent permitted by applicable law, you and Idilio.tv agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any class, consolidated, or representative action. Unless applicable law provides otherwise, the judge or arbitrator may not consolidate the claims of more than one person.
